The FCA has published Finalised Guidance 14/7: Primary Market Bulletin No.6 and Primary Market Bulletin No.7 (FG14/7).

The UKLA knowledge base is a repository of non-Handbook technical commentary that has the status of formal FCA guidance. In FG14/7, the UKLA reports that having considered the feedback received to Primary Market Bulletins No.6 and No.7 it has updated the knowledge base by:

  • adding three new notes. These are: (i) additional powers to supervise sponsors (UKLA/PN/910.1); (ii) additional powers to supervise and discipline sponsors (UKLA/TN/712.1); and (iii) listing principle 2 – dealing with the FCA in an open and co-operative manner (UKLA/TN/209.1); and
  • amending four existing notes: (i) sponsor firms – on-going requirements during reorganisations (UKLA/PN/909.2); (ii) sponsors – uncertain market conditions (UKLA/TN/705.2); (iii) sponsor transactions – adequacy of resourcing (UKLA/TN/709.2); and (iv) reverse takeovers (UKLA/TN/306.2).

In FG14/7, the UKLA also reports that it is continuing its assessment of the feedback received in respect of the following two technical notes:

  • non-equity retail prospectuses (UKLA/TN/632.1); and
  • sponsors: application of principle to deal with the FCA in an open and co-operative manner (UKLA/TN/713.1).
